7-(3) Procedures for changing the Articles of Incorporation (Notification)

Notification of Changes in Articles of Incorporation

If the matter to be changed is the following a to ku, it is necessary to notify Yokohama City of the change of the articles of incorporation after a decision on the change at the General Meeting of Employees.

A. Relocation and establishment of main offices and other offices in Yokohama City
B. Matters related to the fixed number of officers
C. Assets
D. Accounting matters
O. Fiscal Year
F. Matters related to dissolution (excluding those pertaining to those who should belong to residual property)
Method of public notice
Other matters not required by law to be stated in the Articles of Incorporation

Please submit by mail, at the counter (posting to the submission box), or by electronic application / notification system.

(a) Flow of Procedure

  1. Resolution on amendments to the Articles of Incorporation at the General Meeting of Employees in accordance with the Articles of Incorporation
  2. Change of registration at the Legal Affairs Bureau (only when the registration is included)
  3. Notification of change to Yokohama City
  4. Completion of change registration submission by registration form (including entry) ※After registration is completed, submit a notification of completion of change registration to Yokohama City.

If a director or employee makes a proposal on a matter to be resolved at the General Meeting of Employees, if all employees indicate their intention to agree in writing or electromagnetic records (e-mail body, attached file or CD-R, etc.), it is deemed that a resolution has been made by the General Meeting of Employees to pass the proposal. If even one person disagrees, you will not be able to vote, so be careful.
