7-(3) Procedures for Revision of Articles of Incorporation (Notification)

Notification of Changes to the Articles of Incorporation

Last Updated October 2, 2023

If the matter to be changed is the following a to (c), a notification of the change in the Articles of Incorporation is required to notify Yokohama City of the change in the articles of incorporation.

A. Relocation and establishment of main offices and other offices in Yokohama City
B. Matters relating to the number of officers
C. Matters Concerning Assets
D. Matters related to accounting
E, fiscal year
F) Matters related to dissolution (excluding those pertaining to persons whose residual assets should belong)
G. Method of Public Notice
Other matters that are not required to be included in the Articles of Incorporation

Please submit either by mail, window (posting to the submission box), or submission by electronic application / notification system.

(a) Procedure Flow

  1. Resolutions to amend the Articles of Incorporation at the General Meeting of Employees in accordance with the Articles of Incorporation
  2. Changes in entry by the Legal Affairs Bureau (only if the entry is included)
  3. Report of change to Yokohama City
  4. Submission of registration form (only if the registration is included) ※After registration is completed, submit a notification of change registration completion to Yokohama City.

[Reference] Abolition of resolutions at the General Meeting of Employees

When a director or an employee makes a proposal for a decision at the General Meeting of Employees, if all employees express their consent in writing or by electromagnetic records (email body, its attached file, CD-R, etc.), it is deemed that there has been a resolution at the General Meeting of Employees to approve the proposal. If even one person disagrees, you will not be able to vote, so be careful.
