7-(4) Procedure to change the articles of incorporation (application for certification)

Application for Certification of Amendments to Articles of Incorporation

If the matter to be changed is a to c below, it will not take effect unless the change is approved by the competent authority after the decision of the change is made at the General Meeting of Employees.
(Note that the articles of incorporation cannot be changed solely by a resolution of the general meeting of employees.)
A. Purpose
B. Name
C. Type of specified non-profit activities and type of business related to the specified non-profit activities
D. Locations of principal offices and other offices with changes in the competent authority
O. Matters concerning the acquisition and loss of qualifications of employees
Ca. Matters related to officers (excluding those related to the fixed number of officers)
Ki. Matters related to the meeting
Ku. When conducting other business, the type and other matters related to the business
Ke. Matters related to dissolution (limited to those pertaining to those who belong to residual property)
Co. Matters related to amendments to the Articles of Incorporation

※Of the above, the entries are a, a, c, d, and ku.

A. Application procedure (if there is no change in the competent authority)

The application procedure to Yokohama City when the matters to be changed are other than the above d (the location of the main office and other offices with the change of the competent authority) is as follows.

(a) Flow of Procedure

1.Resolution on amendments to the Articles of Incorporation at the General Meeting of Employees in accordance with the Articles of Incorporation
2.Preparation of certification application documents (pre-confirmation)

※Create the documents required to apply for certification of amendments to the Articles of Incorporation (see below for documents required for application).

※The preparation of documents is carried out in advance.

3.Submission of application documents
4.Acceptance, publication and inspection of application documents (2 weeks)

  • Publication: Of the date of application and the application documents, "Articles of Incorporation", (If there is a change in business, "Articles of Incorporation" and "Business Plan (for 2 Business Years)", "Activity Budget Book (2 Business Year)) "). The publication period is until the certification or non-certification decision is made after the application is accepted.
  • Inspection: Of the application documents, "Articles of Incorporation", (if there is a change in business, "Articles of Incorporation", "Business Plan (for 2 Business Years)" and "Activity Budget Book (for 2 Business Years)") For two weeks, Yokohama City (Yokohama City Citizen Collaboration Promotion Center) will be available for inspection.

5.Determination of certification or non-certification (within 45 days after the end of the inspection period)

※Yokohama City will decide on certification or non-certification within 45 days after the end of the inspection period, and will issue a letter of certification or non-certification.

6.Change of registration at the Legal Affairs Bureau (only when the registration is included)

※If you receive a certification decision, you must change your registration at the Legal Affairs Bureau (Yokohama Legal Affaires Bureau) within two weeks from the date of the decision.

7.Completion of change registration submission by registration form (including entry)

※After registration is completed, submit a notification of completion of change registration to Yokohama City.

The following documents must be submitted to the application for certification of amendments to the Articles of Incorporation.

If the amendments to the Articles of Incorporation include changes in the types of non-profit activities, businesses related to specific non-profit activities, or other matters related to other businesses, the following documents must be submitted.

If the entry is changed due to the change of the articles of incorporation, the Legal Affairs Bureau will change the entry and submit the following documents to Yokohama City.

② Submit application document data (Word, Excel, PDF format) by e-mail.
※Once we have received prior confirmation, we will contact you from Yokohama City. If you do not contact us, we apologize, but please check the reception status by phone.
※After confirming the documents, the person in charge will inform you of the confirmation results.

[Reference] Correction of documents during the inspection period

Within one week from the date when Yokohama City receives the application documents, only minor contents (objectively obvious typographical errors, typographical errors or omissions that do not affect the identity of the contents) Can be corrected. [Reference] Omission of resolutions at the General Meeting of Employees

If a director or employee makes a proposal on a matter to be resolved at the General Meeting of Employees, if all employees indicate their intention to agree in writing or electromagnetic records (e-mail body, attached file or CD-R, etc.), it is deemed that a resolution has been made by the General Meeting of Employees to pass the proposal. If even one person disagrees, you will not be able to vote, so be careful.

B. Application procedures involving changes in the competent authority

  • If the main office is moved outside the city or a subordinate office is located outside the city, the competent authority will be changed to the prefectural or designated city such as the relocation destination. In this case, it is necessary to obtain the certification of the competent authority after the change.
  • Documents to be submitted will be created in the prescribed format of the competent authority after the change and submitted to Yokohama City. After the amendment of the Articles of Incorporation, a certificate of amendment of the Articles of Incorporation will be issued by the competent authority after the change.
  • In addition to the above documents, it is necessary to submit a copy of all attached documents attached to the certification or special certification application, a copy of the documents related to certification or special certification, and a copy of the latest executive compensation rules submitted to the competent authority, and a document describing the results of the latest grants submitted to the competent authority and remittances overseas.

(a) Flow of Procedure

3.Submission of application documents to Yokohama City
4.After sending the application documents from Yokohama City to the new competent authority, it will be published via the Internet and inspected (2 weeks).
5.Determination of certification or non-certification from the competent authority of the transferee (within 2 months)
6.Change of registration at the Legal Affairs Bureau (only when the registration is included)

※If you receive a certification decision, you will need to change your entry at the relevant Legal Affairs Bureau within two weeks from the date of the decision.

7.Submission of documents proving that the change has been registered with the new competent authority.
