7-(4) Procedure to change the Articles of Incorporation (Application for certification)

Application for certification of amendments to the Articles of Incorporation

If the items to be changed are any of the following a to (a) to (a), it will not take effect unless it is certified by the competent authority after the decision of the change at the General Meeting of Employees.
(It is important to note that the articles of incorporation cannot be changed only by voting at the general meeting of employees.)
A. Purpose
I. Name
C. Types of specified non-profit activities and types of businesses related to the specified non-profit activities
D. Locations of principal offices and other offices subject to change in competent authority
O. Matters concerning the acquisition and loss of employee qualifications
C. Matters concerning officers (excluding those related to the number of officers)
K. Matters related to the Meeting
K. In the case of conducting other business, the type of business and other matters relating to the other business
K. Matters related to dissolution (limited to those who should belong to residual assets)
Co. Matters relating to amendments to the Articles of Incorporation

※Of the above, the entries are a, i, c, d, and c.

A. Application procedure (if there is no change in the competent authority)

If the matters to be changed are other than the above (d) (d) (the location of the main office and other offices with the change of the competent authority), the application procedure to Yokohama City is as follows.

(a) Procedure Flow

1.Resolutions to amend the Articles of Incorporation at the General Meeting of Employees in accordance with the Articles of Incorporation
2.Preparation of certification application documents (pre-confirmation)

※Create the necessary documents for the certification application for the amendment of the articles of incorporation (see below for the documents required for application).

※Pre-confirmation of documents is checked in advance.

3.Submission of application documents
4.Acceptance, publication and inspection of application documents (2 weeks)

  • Announcement: Of the date and application documents, “Articles of Incorporation”, (if business changes are required, “Articles of Incorporation” and “Business Plan (for two business years)”, “Activity Budget (2 Business Years)” Minutes) ”). The publication period is between the acceptance of the application until the decision on certification or non-certification.
  • Public inspection: Of the application documents, “Articles of Incorporation”, (if there is a change in business, “Articles of Incorporation” and “Business Plan (for two business years)”, “Activity Budget (for two business years)”) We offer for inspection in Yokohama-shi (Yokohama-shi citizen collaboration promotion center).

5.Decision on certification or non-certification (within 45 days after the inspection period)

※Yokohama City will make a decision on certification or non-certification within 45 days after the end of the inspection period, and will issue a notice of certification or non-certification.

6.Changes in entry by the Legal Affairs Bureau (only if the entry is included)

※If a certification decision is made, the registration must be made at the Legal Affairs Bureau (Yokohama Legal Affaires Bureau) within two weeks from the date of receiving the decision.

7.Submission of registration form (only if the registration is included)

※After registration is completed, submit a notification of change registration completion to Yokohama City.

The following documents must be submitted to the application for certification of amendments to the Articles of Incorporation.

If the changes to the articles of incorporation include changes in the type of non-profit activity, a business related to a specific non-profit activity, or other matters related to other businesses, the following documents must be submitted.

[Reference] About amendment of documents during inspection period

Within one week from the date on which Yokohama City receives the application documents, only minor contents (objectively obvious errors, typographical errors, typographical errors, or omissions that do not affect the identity of the contents) Can be corrected. [Reference] Abolition of resolutions at the General Meeting of Employees

When a director or an employee makes a proposal for a decision at the General Meeting of Employees, if all employees express their consent in writing or by electromagnetic records (email body, its attached file, CD-R, etc.), it is deemed that there has been a resolution at the General Meeting of Employees to approve the proposal. If even one person disagrees, you will not be able to vote, so be careful.

I. Application procedures that involve changes in the competent authority

  • When moving the main office is moved out of the city, or the secondary office is set up outside the city, the competent authority will be changed to the prefecture or designated city such as the relocation destination. In this case, you will need to be certified by the competent authority after the change.
  • Documents to be submitted will be created in the prescribed format of the competent authority after the change and will be submitted to Yokohama City. After the amendment of the articles of incorporation, a certificate of change will be issued by the competent authority after the change.
  • In addition to the above documents, accredited or exceptional certification NPO corporations must submit a copy of all attached documents attached to the application for certification or special certification, a copy of documents related to certification or exceptional certification, and a copy of the most recent executive remuneration submitted to the competent authority and documents describing remittance overseas.

(a) Procedure Flow

6.Changes in entry by the Legal Affairs Bureau (only if the entry is included)

※If you receive a certification decision, you will need to change your registration at the Legal Affairs Bureau within two weeks from the date of receiving the decision.

7.Submission of documents proving that the change has been registered with the competent authority of the transfer destination
