7-(5) Procedures for Dissolution

A. Reason for dissolution

NPO corporations will be dissolved for the following reasons:

Reason for dissolution

Article 31, Paragraph 1 of the Act

  1. Resolutions at the General Meeting of Employees
  2. Occurrence of reasons for dissolution as stipulated in the Articles of Incorporation
  3. Inability of the business related to the specified non-profit activities
  4. Death of employees
  5. Merger
  6. Decided to commence bankruptcy proceedings
  7. Cancellation of certification for establishment by the competent authority

I. Flow of Procedure (in the case of resolution of the General Assembly)

1.Resolution to dissolve by a general meeting of employees in accordance with the Articles of Incorporation

2.Dissolution and registration of liquidator at the Legal Affairs Bureau

※The liquidator is generally appointed by a director.


3.Submitted registration form to Yokohama City

※registration form must be accompanied by a certificate of entry.


4.Clearing operations under the supervision of the district court in charge

※The liquidator must publish a public notice (and notice) of the claim for claims in the Official Gazette.

※If there is residual property, the liquidator will deliver the residual property.


5.Registration of liquidation at the Legal Affairs Bureau

※With the registration of completion of liquidation, the legal status will be extinguished.


6.Submitted registration form to Yokohama City

※registration form must be accompanied by a certificate of entry.


C. Documents to be submitted at the time of dissolution

In the event of dissolution due to 1, 2, 4 or 6 of “A. Reason for Dissolution”, the following documents must be submitted.

[Reference] Attribution of residual assets

The residual assets of the dissolved NPO belongs to the affiliation specified in the Articles of Incorporation, except in the case of a decision to commence bankruptcy proceedings, except in the case of a merger or commencement of bankruptcy proceedings.
