7-(5) Procedures for dissolution

A. Reason for dissolution

The NPO will be dissolved for the following reasons.

Reason for dissolution

Article 31, Paragraph 1 of the Act

  1. Resolution of the General Meeting of Employees
  2. Occurrence of reasons for dissolution specified in the Articles of Incorporation
  3. Inability to succeed in the business related to the target non-profit activities
  4. Missing employees
  5. Merger
  6. Decision to commence bankruptcy proceedings
  7. Revocation of certification of establishment by the competent authority

B. Flow of Procedures (in the case of resolution of the General Assembly)

1.Resolution to dissolve at the General Meeting of Employees in accordance with the Articles of Incorporation

2.Dissolution at the Legal Affairs Bureau and registration of liquidator

※In general, a liquidator will be appointed as a director.


3.Submit the dissolution registration form to Yokohama City

※You must attach a certificate of entry to registration form.


4.Perform liquidation operations under the supervision of the district court in charge.

※The liquidator must publish the public notice (and notice) of the claim in the official gazette.
(Request for official gazette / public notice: Kanagawa Prefectural Gazette Sales Office (Yokohama Nikkei) (outside site))
※If there is any residual property, the liquidator will deliver the residual property.


5.Registration of the completion of liquidation at the Legal Affairs Bureau

※With the completion of liquidation, the legal status will be extinguished.


6.Submitted registration form to Yokohama City

※You must attach a certificate of entry to registration form.


C. Documents to be submitted at the time of dissolution

In the case of dissolution due to 1, 2, 4 or 6 of “A. Reason for dissolution”, the following documents must be submitted.

[Reference] Attribution of residual assets

The remaining assets of the dissolved NPO belong to the affiliation specified in the Articles of Incorporation, except in the case of a decision to commence merger and bankruptcy proceedings.
